Proposal 1: Election of Directors: Five current directors were re-elected to terms expiring in 2007: Janet K. Cooper, C.L. (Jerry) Henry, Robert E. Schjerven, Terry D. Stinson, and Richard L. Thompson. Directors received no less than 67.88% percent of shares voted for election.
